Pixo — Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Cue Apps Inc., a corporation incorporated in Ontario, Canada ("Company," "we," "our," or "us"), the operator of the Pixo photo sharing platform ("Service"). They govern every use of the Service — the getpixo.app website, the event galleries it sells, and the guest upload pages those galleries serve. By purchasing an event gallery, creating an account, or uploading content to an event, you agree to these Terms.

If you do not agree to these Terms, do not access or use the Service.

1. The Service

Pixo lets an event organizer collect photos and short videos from their guests through a QR code. The organizer purchases an event gallery, shares or prints the code, and guests scan it to upload from their phone browser. Uploads appear in a live feed and an album that the organizer can moderate and download. The Service is sold per event as a one-time purchase, not a subscription, on the package chosen at checkout.

We may change, improve, or discontinue features of the Service over time. Where a change materially reduces what a paid gallery provides during its storage window, the refund policy in Section 5 applies.

2. Hosts and Guests

Hosts. A "Host" is the person who purchases an event gallery. Hosts are responsible for the accuracy of the account information they provide, for keeping access to their account email secure, and for the events they run through the Service. You must be able to form a binding contract in your jurisdiction to purchase a gallery.

Guests. A "Guest" is anyone who joins an event by scanning its QR code or opening its link and uploads content to it. Guests do not need an account; by uploading, a Guest agrees to these Terms and confirms they have the right to share the content they upload. Hosts are responsible for making their guests aware that photos uploaded to the event are visible to the Host and to anyone with the event's link or QR code.

3. Acceptable Use and Prohibited Content

You agree not to use the Service to upload, share, or distribute content that:

is illegal, or that you do not have the right to share; depicts or exploits minors in any sexualized manner; is pornographic or sexually explicit; harasses, threatens, defames, or invades the privacy of any person; infringes any copyright, trademark, or other intellectual property right; contains malware or attempts to interfere with the operation of the Service; or is uploaded to an event by someone with no genuine connection to that event, for spam or advertising purposes.

You also agree not to probe, scan, or test the vulnerability of the Service, attempt to access another event's content or another user's account, scrape the Service, or resell access to it. We may remove content and suspend or terminate access to the Service where we reasonably believe these Terms have been violated. Hosts can hide or delete any upload in their own event at any time; removal of clearly violating content is not a breach of our obligations to the Guest who uploaded it.

4. Your Content and Our Licence

You own what you upload. Hosts and Guests retain all ownership rights in the photos and videos they upload ("User Content"). We claim no ownership of User Content.

The licence we need to run the Service. By uploading User Content, you grant Cue Apps Inc. a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, and display that content solely for the purpose of operating the Service: showing it in the event's feed and album, generating thumbnails, and making it available to the event's Host for download. This licence ends when the content is deleted from the Service, subject to a limited period for residual backup copies. We do not use User Content for marketing, advertising, or training artificial intelligence models, as described in our Privacy Policy.

Between Hosts and Guests. A Guest who uploads to an event grants the Host of that event permission to view, download, and keep the uploaded content. Any further use of a Guest's content by a Host is between the Host and the Guest; we are not a party to it.

5. Payment, Packages, and Refunds

Payment. Galleries are sold as one-time purchases through our payment processor, Stripe. The packages available, what each includes, and the price you will pay are shown at checkout before you confirm the purchase; prices may be presented in your local currency. You are responsible for any taxes that apply to your purchase. Upgrading an existing gallery from the Starter package to the Pro package is priced as the difference between the two packages.

Refunds. If you are unhappy with your gallery, we will give you a full refund — no questions asked. To request one, contact us at the address in Section 11 from the email you purchased with, and we will refund the payment to your original payment method. This guarantee does not limit any non-waivable rights you have under applicable consumer protection law.

6. Storage and Retention

A gallery's photos and videos are stored for the period included in its package — 6 months on the Starter package and 12 months on the Pro package, measured from when the event first goes live. After the storage period ends, uploaded media is permanently deleted and cannot be recovered. Hosts are responsible for downloading their album before the storage period ends. Deleting individual uploads is likewise permanent, as is the deletion of an event we perform at your request.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that content will never be lost — which is why Hosts should download their album, and why Section 5's refund exists. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

8. Limitation of Liability

To the maximum extent permitted by law, Cue Apps Inc. and its directors, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or lost photographs — arising out of or relating to the Service, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service is limited to the amount you paid us for the gallery giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnity. You agree to indemnify Cue Apps Inc. against claims by third parties arising from User Content you upload or from your breach of these Terms.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction over any dispute arising from these Terms or the Service, and you agree to their jurisdiction — except where the consumer protection law of your place of residence gives you a non-waivable right to bring proceedings elsewhere.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Service and update the Effective Date above; for significant changes affecting paid galleries, we will make reasonable efforts to notify Hosts by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. The Terms in effect when you purchased a gallery continue to govern that purchase's refund rights.
